They do not govern any consulting engagement, which is covered by its own signed agreement; where that agreement differs from these terms, the signed agreement prevails for that engagement.
3. No contract for services
The website is for information. Submitting an enquiry, requesting a strategic briefing, or booking a meeting does not create any binding agreement or oblige either of us to proceed. Anything you send us through the site, and any briefing we hold, is an invitation to discuss, not an offer capable of acceptance. We begin working together only when we have signed a separate written agreement setting out the scope, terms, and fees.
4. Intellectual property rights
Everything on this website, the text, structure, design, logos, images, and underlying material, is owned by Gildoni Ltd or used with permission, and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive right to view the site and share links to it. We do not grant you any right to copy, reproduce, republish, sell, or create derivative works from our content, to use it to train or develop any AI system, or to use it to build or market a competing offering, without our written permission. You may quote a short passage with clear attribution to Gildoni Ltd and a link to the source. All rights we do not expressly grant are reserved.
5. The methodology and proprietary terms
The Havruta Methodology™ and the framework, language, and proprietary terms we use to describe and deliver it are the intellectual property of Gildoni Ltd. These include, among others, the Cognitive Pillar, the Brain Pillar, the 4-Lines, the Flip, the Vending Machine versus Thinking Partner diagnostic, High-Speed Waste, Decision Velocity, Ground Truth, and the Mirror Principle. These are trademarks and proprietary terms of Gildoni Ltd, whether registered or not, and the goodwill in them belongs to us. You may refer to them to describe our work fairly and accurately, but you may not adopt them as your own, use them to market a competing service, or present our methodology as if it were yours or a third party's. Nothing on this site transfers any ownership of the methodology or these marks to you.
6. Downloadable content
Where we make content available to download (such as a guide or article), we grant you a limited, personal, non-commercial right to use it for your own reference. You may not redistribute, resell, or republish it, or remove any notice of ownership, without our written permission.
7. User submissions and testimonials
If you send us feedback, suggestions, or other material, you grant us a non-exclusive, royalty-free right to use it in connection with our business, and you confirm it is yours to share and does not infringe anyone's rights. If any provision of these terms is found to be invalid or unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms without our consent; we may assign ours as part of a business reorganisation.
